Great oportunity to join this specialist re/insurance broker. This is a maternity leave contract, seeking candidates with a proven track record in a similar position with in insurance sector.

The role will be responsible for ensuring that the Group complies with statutory requirements and maintains high standards of corporate governance across all its entities.

Responsibilities:

  • Company Secretary for circa 14 entities; including governance advice, statutory reporting, agenda planning, development of annual meeting calendar, ensuring paper content is appropriate, delivery of robust minutes, effective action follow up and meeting administration
  • Working closely with the Global CFO to deliver agreed priorities with respect to regulated UK and European other entities whilst meeting all governance requirements in a timely and consistent way
  • Management of all matters relating to the Non-Executive Directors
  • Management of all regulatory fillings to the FCA and other regulatory bodies and/or company registrars as required
  • To be the first point of contact for third-party corporate governance administrators and providers
  • Updating and maintaining statutory databases and registers
  • Maintaining and ensuring governance and compliance policies are kept up to date and are approved by the appropriate committees/boards annually
  • Provide advice and information to directors and offices as required
  • Provide input to adhoc projects and work streams across the Group
  • Support the business to complete any KYC and other governance requests, both internally and externally
  • Provide assistance to the Parent Company Group General Counsel as required

Requirements

  • Experience of handling confidential information
  • A willingness to handle corporate projects on behalf of the Group when required
  • Experience as a company secretary
  • Either ICSA qualified/ part qualified or completed a legal degree
  • Able to demonstrate an understanding of company secretary governance, corporate business practices and legislation
  • Demonstrate strong corporate administration skills
  • Broad understanding of Lloyds' and the London Market
  • Able to work under pressure, to tight deadlines and capable of operating with limited supervision
  • Sound understanding of Business Law and Finance
  • Strong attention to details
  • Commercial frame of mind
  • Discretion and integrity handling confidential information
  • Excellent spoken and written communication skills
  • Strong interpersonal skills
  • Ability to handle a varied and diverse workload
